Terms of Service

1. Agreement

These terms are an agreement between you, or the organization you accept them for, and Solid Software LLC, 451 W Huron St, Ste 1107, Chicago, IL, USA ("we" below), for the use of coance: the coance GitHub App, the coance app at https://app.coance.ai and this website. If you accept them for an organization, you confirm you may bind it.

2. The service

coance reads the review rules you declare in coance.yml or CODEOWNERS, opens a review thread on each pull request file that needs review, counts approvals, and reports the coance check on GitHub. It also measures lines of code per review level. The configuration reference describes how it behaves. How we handle data is in the Privacy Policy.

coance helps you organize human review; it does not review code itself and does not guarantee that reviewed code is correct or secure. You decide your rules and remain responsible for your code and for what you merge.

3. Accounts and GitHub

You need a GitHub account to sign in, and coance acts on repositories through the GitHub App you install. You choose which repositories the App can access and can remove it at any time in GitHub. You are responsible for your account and for the people you give access to your coance organization. Your use of GitHub is also subject to GitHub's terms.

4. Plans and billing

  • Free. Public repositories are always free. Private repositories are free for up to 3 active contributors in a month.
  • Team. $10 per active contributor a month, or $100 per active contributor a year, starting with a 14-day free trial that needs no card.
  • Enterprise. Terms agreed separately; contact support@coance.ai.

An active contributor is a distinct human GitHub user who authored at least one pull request that coance evaluated in one of your organization's private repositories during the billing period. Bots never count. A Team subscription is billed for the active contributors counted in each period.

Payments are processed by Stripe. Organization owners can switch between monthly and annual billing, update the payment method or cancel through the billing portal linked from the app. Prices exclude taxes.

  • Cancellation and refunds. If you cancel, your subscription ends at the end of the current billing period and the Free plan applies. We do not refund partial billing periods.
  • Failed payments. If a payment fails, Stripe retries it and coance keeps working meanwhile. If the payment still can't be collected, the subscription ends and coance stops on the organization's private repositories until billing is updated; public repositories are not affected.
  • Price changes. We announce price changes by email at least 30 days ahead. They apply from the next billing period.

When an organization on the Free plan has more active contributors in a month than the Free plan allows, coance pauses on its private repositories until the organization upgrades or a new month's count is back within the limit. Commenting /coance override on a pull request lets that pull request through.

5. Acceptable use

Do not use coance to break the law or GitHub's terms, to access repositories you are not allowed to, to disrupt the service or overload it on purpose, or to probe it for vulnerabilities without our written permission.

6. Your content

Your code and repository data stay yours. You let us process them only as needed to run coance for you, as the Privacy Policy describes.

7. Ending the agreement

You can stop using coance at any time by uninstalling the GitHub App and cancelling any subscription. We may suspend or end access for a breach of these terms; otherwise we give 30 days' notice by email before ending the service for you. After you uninstall the App, your data is deleted within 30 days, as the Privacy Policy describes.

8. Warranties and liability

coance is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.

To the extent the law allows, our total liability for any claim about coance is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect, incidental, special or consequential damages, or for lost profits or data.

9. Governing law

These terms are governed by the laws of the State of Illinois, USA. The courts of Cook County, Illinois, have exclusive jurisdiction over any dispute about them.

10. Changes and contact

We will publish changes to these terms on this page with a new effective date, and tell organization owners about material changes by email before they take effect. Questions: support@coance.ai.

Effective date: not yet in effect (draft).
